Our lawyers within “Forensis” can provide consultancy services in English and French. Besides, we can provide foreign-related legal and consultancy services to our clients on legal issues with foreign elements through our solution partners that we carry out joint activities abroad (especially in England, Germany, France, and African Union countries).

Our lawyers in our team serve our clients in all areas of law. In particular: Banking & Finance, Islamic Finance, Energy Law, Company Law, Contract Law and is a specialist in International Investment Law and respected law firms in their professional careers in Turkey and abroad and remained in the firm. Our team has significant knowledge and experience in the preparation and negotiation of documents (non-disclosure agreement, due diligence report, share & purchase agreement, general assembly minutes, etc.), especially in merger acquisition processes. The experience of our team in the merger and acquisition process includes being involved in transactions such as privatization and private equity investments both on the seller side and the buyer side.

Until 2014, when our partners founded “Forensis”, they carried out the largest budgeted acquisition projects on mergers and acquisitions. In the sales of big companies such as Erdemir, Telsim, Telekom, Garanti Bank, Denizbank, TAV, Intercity; they conducted the processes of preparation of articles of association, Mergers & acquisitions agreements. They have worked as lawyers in many energy, construction projects and financing contracts at prestigious banks such as Garanti Bank. They also carried out privatization processes in the natural gas and petrochemical sectors in the legal counselling office of the holding, which operates in approximately 17 countries in the fields of energy, telecommunications, construction, finance, mining, textile and media, and the procurement team carried out with the telecom and energy group. Energy investments made in Northern Iraq have taken part in the oil pipeline and refinery project of the holding. Also, Energaz, Kayserigaz, İzgaz and Başkent Doğalgaz participated in the distribution tenders. They provided legal support to Aktif Bank's project financing agreements. They carried out all legal processes of the group's construction and textile investments in Central Asia and North Africa together with the team. They conducted investment, business development and partnership negotiations in Adacami, Aksu, Kızkayası, Koçali, Düzhanlar, Topaktaş, Vadi, Daran, Kasımlar Hydro-Electric Power Plants and Demircili, Sarpıncık, Karaburun wind power plants projects. They provided consultancy to the qualified contracts of Albtelecom and Eagle Mobile, which are part of the group and are the telecom company of Albania. They have been involved in different legal transactions, lawsuits, and projects in 26 countries of the world, in banks where they take part in legal consultancy, in syndicated loans, and the purchasing processes of banks in Turkey and abroad. They have advised on tax disputes, treasury transactions, ISDA contracts and other foreign borrowing transactions. Also, they have been involved in the establishment and other legal processes of asset sales, investment trusts, and private pension companies as a consultant. Conducted the international partnership negotiations of the Group's insurance company and provided consultancy on capital market brokerage firm licensing and other transactions. Some of our partners took part in the team that executed the purchasing and partnership agreements of Islamic banks in Senegal, Niger, Guinea, and Mauritania owned by the Bank with the Islamic Development Bank in Africa and attended the board of directors’ meetings on behalf of the bank. They worked at the head of the team that issued the first SUKUK and carried out the public offering transactions. Due to the loans given to Dedeli and Aliğa-Çakmaktepe Power Plants, they intervened in the business decisions together with the companies and thus gained sectorial experience in this field.

Our colleagues within “Forensis”; have been actively involved in important national and international merger-acquisition projects, legal consultancy services to companies in the energy sector projects where loans are provided by interest-free finance standards, in the board of directors of international affiliates of in-house companies, energy tenders, contract negotiations and many similar transactions. Besides, they prepared legal reports on many different legal problems and examined hundreds of different contracts.

 Some of the projects our team has followed up the legal process in the last year are as follows:

- Realization of the due diligence and acquisition of the 3 Mw Solar Power Plant Project of German Energy Company EWE Turkey in Kayseri,

- Realization of the due diligence and sales transactions of TİSA Energy's 2 Mw Solar Power Plant Project in Malatya,

- Following the legal process of PEKAR Group's "Cityist" Project,

- Aluminium company Mulk Holdings composite follow-up and liquidation of the partnership process in Turkey, followed by Globeclad process of mergers and acquisitions.

Our team continues its client-oriented services; the increased interest of foreign investors should jointly develop the economy as well as Turkey also manages the investment analysis and preventive law principles, it protects the interests of its clients and contributes to their sustainable success.

Since its establishment in 2014, “Forensis” has gathered a team of experts who are open to change, development and has managed to establish an activity network in three different provinces (Istanbul, Bursa, and Izmir) in a short period of three years. “Forensis”, foreign investors are managing the business and operations of the judicial process in Turkey and provides consultancy services prior to investing abroad by local investors. Thus, it works to achieve its goal of forming the basis of an international law firm network that will operate in three different countries.

Reviewing and revising the existing legal documents of clients, drafting legal documents related to standard business and transactions, revising contracts concluded with employees and creating and enforcing legal documents in business planning, and training personnel on this subject are followed by our colleagues who are experts in the field of Labour Law. Also, clients are served in the preparation of contracts and other documents regarding the legal infrastructure of their relations with domestic and foreign business partners, dealers, and agencies. Studies are carried out to determine the signature authorities according to the existing company and partnership structure, and to determine the persons and signatories to represent the companies, considering the needs of the clients. Finally, for clients operating as a family business, services are provided to clients within the scope of negotiating the corporate constitutions that regulate the rights and obligations of family members against the company and creating a contract structure suitable for the family structure.

In addition to these services provided to clients, we operate through our litigation and enforcement departments to carry out their lawsuits and enforcement proceedings within the scope of the usual legal processes.
